The CALA Constitution

Clause 1 - Name

1.1 The name of the Association shall be The Conference on Asian Linguistic Anthropology (The CALA).

Clause 2 - Aim

2.1 To network academics working in, for, and on Asia, and who focus on Asian Linguistic and Sociocultural Anthropology, and Language and society, so to disseminate this work in relation to Asian regions, and to expand and promote the study of Linguistic and Sociocultural Anthropology of Asian regions.

Clause 3 - Management Committee

3.1. The Conference on Asian Linguistic Anthropology shall be administered by the Management Committee of The CALA, which is based at its University Main Partner, but shall follow the constitutional requirements set forth herein in this document.

3.2. The management committee, which may be shared with its University Partner, shall obtain and retain power to

3.2.1. set up sub-groups and working parties as deemed necessary. These sub groups shall be accountable to the management committee.

3.2.2. decide on current and prospective actions for The CALA, as well as amendments to the status of current projects of The CALA, but not conflicting with the terms of this constitution.

3.2.3. decide on amendments to the constitution.

3.2.4. decide on the dates of meetings.

3.2.5. manage and control all funds, providing that no conflict arises between use of funds and constitutional requirements.

3.2.6. disqualify any committee members who are seen to act against the constitution. This will be done through a majority vote of the other committee members.

3.2.7. acquire, hold, deal with, and dispose of, any real or personal property.

3.2.8. administer any property on trust.

3.2.9. Invests its monies

3.2.9.1 in any security or foundation in which trust monies may, by Act of government law, be invested.

3.2.9.2 in any other manner authorized by the rules of the association.

3.2.10 ensure that the non-profit intentions of The CALA are fully maintained.

3.2.11. borrow money upon such terms and conditions as the association thinks fit.

3.2.12. give such security for the discharge of liabilities incurred by the association as the association thinks fit.

3.2.13. appoint agents to transact any business of the association on its behalf.

3.2.14. enter into any other contract as it considers necessary or desirable.

Clause 4 - Membership

4.1. Membership of The Conference on Asian Linguistic Anthropology shall be open to any institution or organization interested in assisting The CALA to achieve its aim, and to any institution or organization willing to abide by the rules of the association.

4.2. The Management Committee of The Conference on Asian Linguistic Anthropology shall retain the power to refuse membership with The CALA by an applicant, where it is considered that such membership would be detrimental to the aims, purposes, or activities, of the group. The Committee must justify this adequately.

4.3. Membership to The CALA shall be by agreement between The CALA Organization and each invited affiliate, and shall be moderated by The CALA.

4.4. Any affiliate to The CALA may resign its membership, or any representative of a member organization or section may resign such position on behalf of the Institution of organization, by submitting to The CALA written notice to that effect.

4.5. The Management Committee of The CALA, may, by resolution passed at a meeting thereof, terminate or suspend the membership of any member, if in its opinion its conduct is prejudicial to the interests and objects of The CALA. The individual member or representative of the member organization (as the case may be) in question contains the right to be heard by The CALA Committee prior to a final decision. There shall be a right of appeal to an independent arbitrator appointed by mutual agreement. The Management Committee of The CALA must justify all actions adequately.

4.6 The Management committee of The CALA may, by resolution passed at a meeting thereof, include and manage the affiliation of any such organization wishing to become a sub-association, and one which complies with the aims of The CALA, if the organization and its aims do not overlap with the aims of The CALA, but rather, parallel these aims. In this way, the organization must comply with the rules and annexes of The CALA, and shall be managed by The CALA committee. Similarly, any new sub-association that coincides with the aims of The CALA may be formed by The CALA, and will hence become a sub-association of The CALA.

Clause 5 - Objectives

5.1. To promote the understanding of language and society for Asian regions, by positioning all pertinent countries, religions, societies, cultures, and races, in egalitarian fashion, and by recognizing the equal contribution to Linguistic Anthropology of all Asian peoples, and of all contributors globally

5.2. To invite unlimited participation by academics and associations from throughout a global region

5.3. To conduct and concurrently promote the advancement of understanding, educating, encouraging, and supporting affiliates of Linguistic Anthropology, as well as other scholarships related to Linguistic Anthropology, through collaborating with relevant departments, institutions, and other bodies

5.4. To promote the development of society through the sharing of linguistic cultural practices, in any applied or theoretical form

5.5. To raise funds, and to receive contributions, so to finance the work of Linguistic Anthropologists working on and in an Asian context

5.6. To publicize and promote the work of those people, organizations, and events in the field of Linguistic Anthropology

5.7. To advise and mentor those working in the field of Linguistic Anthropology

5.8. To formulate rules, policies, and guidelines, so to facilitate collaboration and communication amongst members of The CALA, and in conjunction with other associations

5.9. To organize conferences, seminars, courses, fieldwork and other events

5.10. To work with similar groups and with whom to exchange information

5.11. To assist to resolve any Asian sociopolitical disputes, in a fully peaceful manner, through the understanding of concepts, models, and practices, in Linguistic Anthropology, and more so in a global context

Clause 6 - Finance

6.1. Any money obtained by The CALA shall be used only for The CALA and its constitutional intentions, and for its constitutional pursuits through itself or any of its partners.

6.2. Any bank accounts opened for The CALA shall be in the name of The CALA, or by any governing body of The CALA

6.3. Any payment issued shall be signed by at least two of any three nominated signatories of The CALA.

6.4. The Management Committee of The CALA will ensure that The CALA stays within its budget, and will ensure the constitutional and ethical appropriation of all funds and accounts.

Clause 7 - Committee meetings and special general meetings

7.1 The Conference on Asian Linguistic Anthropology meetings shall fall at various times deemed appropriate by the Management Committee. These may be as frequent or as infrequent as the Committee deems appropriate. These also include any Conference on Asian Linguistic Anthropology annual general meetings.

Clause 8 - Alteration of this constitution

8.1. Proposals for amendments to this constitution must be delivered to the Chairperson of The Conference on Asian Linguistic Anthropology, in writing. The Chairperson, in conjunction with all other officers, shall then decide on the date of a forum meeting to discuss such proposals, giving at least four weeks (28 days) clear notice. These meetings may be held online.

8.2. Any changes to this constitution must be agreed on by at least two thirds of those members of The Conference on Asian Linguistic Anthropology Management Committee present and voting at any general meeting.

Clause 9 - Appointment of an auditor

9.1 An auditor must be appointed by The CALA in the case that The CALA Association becomes a prescribed Association, or at times when the CALA deems it necessary to conduct such necessary audits.

Clause 10 - Dissolution of the Association

10.1. The Conference on Asian Linguistic Anthropology shall be dissolved only by decision of the ownership of the Association in Australia, unless such decision is delegated to another party, in writing.

10.2. The Conference on Asian Linguistic Anthropology can resolve to wind up by a special resolution where at least 180 days written notice specifying the intention to propose the resolution as a special resolution has been given to all individual and organizational members of The Conference on Asian Linguistic Anthropology.
